The following Terms of User Agreement ("TOU"), which may be modified by us from time to time without prior notice to you, govern the provision of this service by Blesscom IBS (BIBS). Additionally, you will be bound by any operational guidelines or policies that apply to specific BlesscomIBS.com membership plans and that may occasionally be presented. On this website, BIBS Services might also provide other plans or services. Use of our services signifies your acceptance and agreement of the terms of this Agreement.

Through this website (the "Site"), BlesscomIBS.com ("BlesscomIBS," "we," or "us") offers information, suggestions, and Virtual Assistant services (the "Services"). Anything that may be handled through the phone, the internet, email, or other digital channels is referred to as "remote" in this context.

This Terms of User Agreement contains the terms, restrictions, and rules governing the use of the Services, the Site, and any content (collectively, the "Content") ("TOU"). Before using the Services or the Site, please carefully read the TOU. You ("you" or "your," or "Client" or "User," as applicable) agree to abide by the terms, conditions, and rules outlined in this TOU by using the Services or the Site.

BlesscomIBS reserves the right, at any time, and without prior notice, to modify, revise, or update this TOU from time to time. The exception to this rule is what is stated in the BlesscomIBS privacy policy. Such modifications to the TOU shall take effect when they are posted on the website under the heading "Terms of Use." Use of the website or its services following the implementation of such modifications shall imply acceptance of all such changes.

Please be aware that BlesscomIBS reserves the right to terminate your access to the site and its services at any time if it determines that you have abused or violated any of these terms, conditions, or guidelines.

You represent that you have read and understand this TOU and that you agree to be bound by it before using the Website. You can leave the website right away if you do not agree to be bound by these TOU. You may only use this Website and the Services provided by BlesscomIBS if you agree to the terms of service.

By using this website, you also represent and warrant that you have read, understood, and agree to be bound by the Terms and Conditions as they apply to the Monthly Membership Plans. If a customised quote for Business Services or Specialized Services is provided, you consent to be bound by the terms and conditions of the particular contract for that service that you and BlesscomIBS have agreed to. In addition to and over and above the TOU mentioned below, you agree to give your consent to such terms and conditions.

Eligibility

Only those people or organisations who are able to engage in legally binding contracts under the laws in effect and who are employees of or affiliated with organisations that have signed a services agreement with BlesscomIBS or one of its distributors, are eligible to use the Services and the Site. Without limiting the aforementioned, anyone under the age of 18 is not permitted to use the Services or the Site (18). You cannot use the Services or the Site if you do not meet the requirements.

User Name, Password and Security

It is your responsibility to keep your username and password private, and you alone bear responsibility for any actions taken using those details. Your username and password, as well as any usage of our Services made with them, are subject to your responsibility to protect and keep confidential. You consent to keep your username and password private. You agree to immediately notify BlesscomIBS of any unauthorised use of your login or password, or any other security breach involving the Site. You are solely responsible for keeping your login, password, and other account information secure. BlesscomIBS is not responsible for any loss or damage that results from your failure to do so.

Links to Third-Party Sites

You might be able to leave the BlesscomIBS.com website by clicking on some of the site's links. Third-party websites may be linked to the Site ("Third Party Linked Sites"). BlesscomIBS has no control over these websites and is not responsible for the information, content, communications, services, goods, or other materials found there. BlesscomIBS is also not responsible for any changes or updates made to such websites. Links on the site are solely offered for convenience and are not intended to be referrals to or endorsements of any Third-Party Linked Site or the companies that run them.

Requests & Tasks

Each request (task) must be made via phone, email, chat, or any other digital channel agreed upon by both parties, or by using the BlesscomIBS dashboard. Please send each request in a separate message, and any correspondence with your helper should only include one specific assignment. You are more than welcome to submit several assignments at once; however, we do ask that you send us an email for each task separately. This guarantees that each work is completed as quickly as feasible.

Prohibited Uses

You acknowledge that, as a user of the same, you will only use the Services and the Site for legal purposes. It is not permitted to use the Services or the Site to transmit, distribute, retrieve, or store any information, data, or other material in contravention of any law or regulation that may be in force. Additionally, you consent not to use the website or services for

  • Without proper authorization, use or transmit any content that is protected by a copyright, trademark, trade secret, patent, or other intellectual property right.
  • Use the website or any of the company's services to harass others by "mail-bombing" or "news-bombing," including collecting email addresses and other people's personal information. Threaten, harass, slander, humiliate, or otherwise distress any individual or group.
  • Reverse engineer, or attempt to reverse engineer, or disassemble any code or software from or on the Website or Services without the owner's permission. Avoid violating the website's or services' security by gaining unauthorised access, circumventing encryption or other security tools, data mining, or interfering with any host, user, or network.
  • Employ "cancel-bots," "auto-responders," or other similar techniques that produce a lot of network traffic.
  • Send or post any content that is illegal, harmful, defamatory, slanderous, pornographic, obscene, vulgar, or otherwise objectionable.
  • Distribute any unwanted advertising online or through email.
  • Distribute or post any pyramid schemes or chain mail.
  • Post or send any offers for goods, services, loans, or other things that are deceptive or fraudulent.
  • Share any deceptive, false, or fraudulent information.
  • Post any unsolicited email.
  • Send any repetitive or unwanted messages.
  • Without their express permission, gather data on other people, including email addresses.
  • Attempt to deceive others about the sender or source of the message by creating a phoney identity, a forged email address, or a header.
  • Use any method, including login password mining, to attempt to gain unauthorised access to the Services, other accounts, computer systems, or networks connected to the Site.

Use of Client information, documents, property and materials

To help BlesscomIBS deliver services, you can provide us with access to information and information about the material, photos, licenced software, and equipment. In accordance with this TOU, BlesscomIBS guarantees that all of your information, documents, property, and materials will be used solely in conjunction with providing the Services. It is the client's obligation to let BlesscomIBS know if any provided information needs to be kept private and how to handle it. You must make sure that any data, assets, or materials you supply do not infringe on someone else's intellectual property rights or break any applicable laws.

If you advise your BlesscomIBS assistant to use any paid or copyrighted content or photos, you are responsible for paying for them before the BlesscomIBS assistant uses them to perform the requested function. You must make sure that all necessary permits, licences, and consents have been obtained before using such content or photos and that copyright laws have not been broken.

If you suggest that we use any licenced software to deliver services, you must make sure that you are in possession of a current licence for it and that our use of the programme complies with the terms and conditions of the licence.

Service warranty

Unless the failure to deliver as promised is due to circumstances beyond BlesscomIBS's control, BlesscomIBS is accountable for the quality of the work it produces and agrees to use its "best efforts" to produce excellent deliverables. There is no warranty on any of the information, tasks, or projects offered to the Client; all material is based on publicly accessible web information.

Ownership of Intellectual property

BlesscomIBS accepts that any documents, work products, and other materials given to Clients in accordance with this TOU ("deliverables") are considered "works-made-for-hire" and that the Client alone is the only author of them. Except as otherwise provided in this TOU, each Party shall be the sole and exclusive owner of all data, documents, results, ideas, discoveries, know-how, methodologies, inventions, reports, and works of authorship, whether or not patentable or subject to copyright, made, written, conceived of, or put into practise by it or by any third party, and of all copies and derivatives thereof.

All documents, data, know-how, methodologies, software, and other materials, including computer programmes, reports, and specifications, provided by or used by BlesscomIBS in connection with performing the Services, in each case where they were developed or acquired by BlesscomIBS prior to the commencement of this Agreement or independently of this Agreement, are and shall remain the sole and exclusive property of BlesscomIBS. Any previously existing, private information that belonged to BlesscomIBS and was included in any deliverable shall remain BlesscomIBS's sole property. Unless specifically instructed differently, BlesscomIBS thus grants Client a royalty-free, non-exclusive, non-transferable right to create, use, sell, duplicate, distribute, display, perform, and transmit any BlesscomIBS information that it includes in the deliverables.

Proprietary Rights

Software: According to the applicable intellectual property and other related laws, you understand and agree that the Service and any software used in conjunction with the Service ("Software") contain secret information and proprietary rights. You agree not to modify the software or use modified copies of it in any way, including (but not limited to) gaining unauthorised access to the service. You consent to not access the Service using any channel other than the web interface, email, phone, chat, or other digital channel that may be made available by BlesscomIBS for use in accessing the Service.

Termination

Termination without cause;

  • Monthly Subscription Plans: Under these plans, the user may cancel the subscription without giving any reason by sending an email 30 days in advance.
  • Adhoc Plans: With these plans, termination takes place as of the project's completion date or, in the case of task-based plans, for the duration of the plan.

Termination with cause:

  • If BlesscomIBS fails to complete any job as required to be completed to reasonably acceptable quality standards, and such failure is not remedied within 30 days of the user's notification to BlesscomIBS, the user may cancel the plan.
  • If a user violates the terms and conditions outlined in this TOU, Blesscom IBS may, in its sole discretion, discontinue the services and access to this site at any time without prior notice.
  • Blesscom IBS has the right to immediately terminate the engagement if the user is rude or abusive toward his or her virtual assistant or any other member of the virtual service team that handles the user's work.

Event of Termination: In the event of termination, the sections of this TOU relating to general disclaimers, prohibited uses, proprietary rights, indemnity, applicable laws, and general terms shall remain in effect.

Payment terms:

The first month's subscription fees must be paid within the first month of service provision, and all subsequent months' fees must be paid in advance by the fifth of the month on an ongoing basis until termination. The monthly subscription fee is always received in advance.

Where the user selects a monthly subscription plan, the Terms and Conditions associated with the various plans will apply in addition to this TOU. If a user chooses a special project plan, an ad hoc project plan or a customised business support plan based on a quote, the terms, and conditions of that proposal will take precedence over this TOU.

Pro-rata charges based on usage or the number of days passed, whichever is higher, shall apply in the event that the user opts out of the service within 7 days of the start date (an Assistant being assigned), for any reason whatsoever, and the remaining balance shall be refunded in accordance with the Refund Policy.

If you wish to cancel the service after the 7-day lookup period starting from the commencement date, neither a waiver of the notice period nor a refund will be permitted.

Credit Card: To safeguard client credit card information, BlesscomIBS has maintained acceptable organisational, administrative, and technical processes and procedures. However, it is your duty to make sure that BlesscomIBS receives the credit card information in a secure manner. This implies that you must upload or change the credit card information through the secure BlesscomIBS dashboard access that has been assigned, not by email, phone, or any other digital method.

Non-solicitation Provision

You acknowledge that BlesscomIBS invests a significant amount of money into hiring, training, and developing its staff members, consultants, and independent contractors and that BlesscomIBS has a genuine interest in seeing a return on those expenditures.

You also acknowledge that BlesscomIBS has contracts with BlesscomIBS assistants that safeguard this interest by requiring BlesscomIBS assistants to get BlesscomIBS's prior written approval before accepting any direct engagement (whether as an employee, consultant, contractor, or otherwise) with any BlesscomIBS client to whom they have been assigned in the past or present.

To the fullest extent permitted by applicable law, you agree not to directly or indirectly solicit for employment or engagement any BlesscomIBS assistant who is assigned to you at that time or who was assigned to you within the six months prior, during your membership, and for a period of twelve (12) months following the termination of your relationship with BlesscomIBS for any reason, whether voluntary or involuntary, with or without cause.

You agree to pay BlesscomIBS liquidated damages, which are fairly calculated to reimburse BlesscomIBS for its lost investments and not as a penalty of any kind, in the amount of one year's salary of the BlesscomIBS assistant prior to the solicitation, should any solicitation by you become a significant factor leading to a BlesscomIBS assistant leaving BlesscomIBS and accepting an engagement with you directly or indirectly without BlesscomIBS's consent. Payment of the aforementioned charge will not prevent BlesscomIBS from pursuing additional legal or equitable remedies against the Client, whether as a result of this Agreement or otherwise.

Sub-contracting

BlesscomIBS is permitted to carry out any obligations it has agreed to through its employees, associates, consultants, or vendors who are appropriately qualified and skilled. For the purposes of the Agreement, any action or inaction by such other affiliates or subcontractors shall be construed as an action or inaction by BlesscomIBS.

Data Rights and Protection

The following policies are in place as part of our aim to uphold domestic and international law as we serve our clients in an ethical and legal manner:

  • Obtaining Consent: Our conditions of use are intended to be as clear-cut and understandable as feasible. The consent of our esteemed clients is revocable at any time.
  • Timely Breach Notification: BlesscomIBS shall promptly notify our associated data controllers and Clients of any data breach within 72 hours. The type of the breach, its consequences, and the steps necessary to fix the problem will all be described in full.
  • Right to be Forgotten: If the Client decides to end their business relationship with BlesscomIBS at any point, the Client may ask for the complete deletion of their personal information from our files.

Client Responsibilities and Obligations

  • Restricted Services: BlesscomIBS assistants are not allowed to assist in any unlawful, immoral, uncomfortable, or unethical action. Therefore, you shouldn't request such duties.
  • Assistants' Supervision: BlesscomIBS will appoint the assistant to the client based on whether or not their skill sets match the services you need. You are in control of the BlesscomIBS assistance that you have been allocated.
  • Credentials: Although BlesscomIBS has implemented reasonable organisational, administrative, and technical controls to safeguard client information, it is your responsibility to ensure the safety of the login information you give your BlesscomIBS assistant in order for them to carry out tasks. Implementing controls like user role-based access, limitations, limiting the information display, access time, etc., can be helpful.
  • Violation of laws or regulations: BlesscomIBS performs services for the Client in accordance with the instructions given, and it is the Client's responsibility to obtain the appropriate consent from the people whose information is provided to BlesscomIBS. Under no circumstances shall BlesscomIBS be responsible for any violation resulting from the failure to obtain consent from such other individuals, including third parties, in accordance with the requirements set forth in the applicable laws or any other applicable laws.

Independent contractor

In its relationship with the Client, BlesscomIBS is and will continue to function as an independent contractor. No partnership, agency, joint venture, or employment arrangement between BlesscomIBS and the Client is intended to be created by these TOU or should be interpreted as such.

Force majeure

Failure or delay in performing any obligation under this TOU due to events beyond BlesscomIBS's control and without fault or negligence will not subject BlesscomIBS to liability to the Client or constitute a breach of this TOU. Acts of God, flood, fire, earthquake, war, acts of terrorism, explosions, strikes, telecommunications failure, power outages or shortages, acts of governmental authorities, such as changes in the laws, regulations, orders, or requirements of any governmental entity, severe weather conditions, civil unrest, natural disasters, fire, pandemic, and quarantines are just a few examples of causes ("Force majeure events") beyond a BlesscomIBS's control.

Indemnity

You consent to hold BlesscomIBS, its service and telecommunications providers, subsidiaries, affiliates, officers, directors, employees, consultants, and agents (if any) harmless from any and all third-party claims, liabilities, damages, and expenses (including, but not limited to, attorneys' fees), resulting from or connected with:

  • I Your use of the Site, the Services, or both,
  • Any material you submit to BlesscomIBS, send through email, transmit, or broadcast through the use of the Services or the Site,
  • Any recklessness or willful wrongdoing on the part of you, your agents, associates, or employees;
  • Any online accounts and profiles created on your behalf on different online web portals/websites or mobile applications in accordance with your instructions (apps),
  • Using your login information to access the portals, websites, or applications you've recommended for work or personal use. BlesscomIBS will use the information on the websites you've recommended in accordance with your instructions.
  • Using your login information to access the portals, websites, or apps you've recommended for work or personal use. BlesscomIBS will use the information on the websites you've recommended in accordance with your instructions.
  • You are breaking the terms of service, or
  • Your alleged violation of a third party's intellectual property, copyright, trade secrets, moral rights, or other proprietary rights.

Limitation of liability

Any indirect, incidental, special, or consequential losses and damages, as well as any punitive or exemplary damages, resulting from or connected in any way to the services offered by BlesscomIBS or this TOU, are expressly disclaimed by BlesscomIBS. Additionally, BlesscomIBS is not responsible for any actions or inactions made in good faith in accordance with this TOU by its employees or BlesscomIBS assistants, with the exception of acts that constitute willful misconduct, gross negligence, or bad faith as determined by a court with appropriate jurisdiction. Only actual and direct losses, not any indirect, exceptional, or consequential losses, will be covered by BlesscomIBS's duty. This TOU is fundamentally based on the services offered on the site, any websites that may be linked to the site, the materials or information found there, or the aforementioned limitations of liability. BlesscomIBS would not have allowed you to use the site or the services if such restrictions had not been made.

If BlesscomIBS violates these Terms of Service, its total cumulative liability for damages on all accounts as a result of such violation shall in no way exceed the fees paid by the Client for the applicable service during the three months preceding the occurrence giving rise to the claim.

Further documentation

Both parties undertake to execute any additional TOU, "Service/Task request(s)" or SLA that may be required to carry out the terms of this agreement as intended.

Dispute resolution

Any disagreements resulting from or related to the TOU must first be resolved through discussion and negotiation between the user and a senior management representative of BlesscomIBS. In the event that a resolution is not reached in thirty (30) days, the disagreement will be sent to arbitration. The arbitration shall be free of charge to each party. There will only be one arbiter. The arbitration will take place in Karachi, Pakistan. English shall be the language of the proceedings. Both parties must abide by the arbitral ruling.

Governing laws and jurisdiction

The parties hereto agree to submit to the exclusive jurisdiction of the courts of Karachi, Pakistan, for any disputes arising out of the subject matter. All matters arising out of this TOU shall be governed by, and construed and enforced in accordance with, the laws of Pakistan, without giving effect to any choice of conflict of law, provision, or rule that would cause the application of the laws of any jurisdiction other than those of Pakistan.

You may not transmit your rights or responsibilities under this Agreement to any third party on your behalf since it is personal to you and is not transferable.

General Terms

The TOU shall be interpreted to reflect the parties intentions as closely as feasible if any provision is determined to be illegal, with the other sections remaining in full force and effect. Any right or provision of the TOU that BlesscomIBS fails to assert or enforce shall not be considered waived by BlesscomIBS. All former or contemporaneous understandings or agreements, whether written or oral, regarding the subject matter covered by the TOU are superseded and replaced by the TOU, which constitutes the complete agreement between the parties with respect to the such subject matter. Any waiver of any of the terms of the TOU must be made in writing, be clear, and be signed by BlesscomIBS in order to be valid.

Acknowledgment

This TOU supersedes and cancels all previous agreements, understandings, and representations in full and renders them null and void. It contains the complete understanding and agreement between the Client and BlesscomIBS.

Signatures

According to The Electronic Transactions Ordinance, 2002, and the requirements of other legislation dealing with electronic records as revised by The Electronic Transactions Ordinance, 2002, this document is an electronic record and does not call for any physical or digital signatures. You provide your consent to the terms of this TOU and agree to them by accepting it digitally.

Notice

Every notice to a party must be in written and delivered to that party either by Pakistan Post mail, fax, or email. Notice to you at the address you supplied during registration and to BlesscomIBS at the address listed below will be deemed given 24 hours after an email is received but is not returned to the sender, or three days after deposit in the Pakistan Post mail.
